Terms of Use

1. Acceptance of Terms

By accessing and using Clickpad's platform or services, you accept and agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree to these terms, you are prohibited from using this platform. Clickpad reserves the right to revise these terms at any time without notice.

2. Service Description

Clickpad Inc. provides an AI property intelligence platform for building operations. Our platform includes:

• 3D Building Twin — live digital model of your property's floors, spaces, and assets
• AI Copilot — natural language interface for maintenance, operations, and vendor queries
• Asset Intelligence — lifecycle tracking, predictive maintenance alerts, and QR code issue reporting
• Operations Command — portfolio dashboards, work order management, and CapEx planning
• Vendor Coordination — procurement, scheduling, and service history across all properties

3. User Responsibilities

By using Clickpad, you agree to:

• Provide accurate, current, and complete information during registration and ongoing use
• Maintain the security of your account credentials and notify us immediately of any unauthorized access
• Comply with all applicable local, provincial, and federal laws and regulations
• Use the platform only for its intended purpose of property operations management
• Ensure all users you provision on the platform agree to these terms

4. Subscriptions and Payment

Clickpad is offered on a subscription basis. By subscribing, you authorize Clickpad to charge your payment method on a recurring basis at the rate applicable to your selected plan. All fees are listed in CAD or USD as indicated at checkout. Subscriptions auto-renew unless cancelled at least 7 days before the renewal date. All fees are non-refundable except as required by applicable law or as explicitly stated in your order agreement.

5. Intellectual Property

All content, features, functionality, software, code, and visual design of the Clickpad platform are the exclusive property of Clickpad Inc. and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, or reverse engineer any part of the platform without express written permission from Clickpad Inc.

6. Data You Upload

You retain full ownership of the property data, BIM files, asset records, and operational data you upload to Clickpad. By uploading data, you grant Clickpad a limited, non-exclusive license to process and store that data solely to provide the platform services to you. We will not use your property data for any purpose other than operating the platform on your behalf.

7. Limitation of Liability

To the maximum extent permitted by law, Clickpad's total liability to you for any claims arising under or in connection with these terms shall not exceed the amount paid by you to Clickpad in the three (3) months preceding the claim. Clickpad is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the platform.

8. Termination

Either party may terminate a subscription with 30 days written notice prior to the next renewal date. Clickpad reserves the right to suspend or terminate your access immediately and without notice if you violate these Terms of Use, fail to pay applicable fees, or engage in conduct that Clickpad determines to be harmful to other users, third parties, or the platform's integrity. Upon termination, you may export your data within 30 days before it is deleted from our systems.

9. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising under these terms shall be submitted to binding arbitration in Toronto, Ontario, except that either party may seek injunctive relief in any court of competent jurisdiction.

10. Changes to These Terms

Clickpad reserves the right to modify these Terms of Use at any time. We will notify subscribers of material changes via email at least 15 days before the changes take effect. Your continued use of the platform after that date constitutes your acceptance of the updated terms.
